Terms of Use

These Terms of Use ("Terms") are an agreement between you and Solvelop LLC ("Solvelop", "we", "us") governing your access to and use of CLOC, our work management and script repository service at cloc.in (the "Service"). By signing in to or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Who may use CLOC
You must be at least 18 years old to use the Service. CLOC is invite-only; an account is created for you by invitation. If you use CLOC on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf, and "you" includes that organization.
What CLOC does
CLOC lets you organize client work: companies, projects, and tasks; files attached to projects; and a personal library of SQL scripts with automatic classification. Your workspace is private to your account.
Your account
You are responsible for activity under your account and for keeping your credentials secure, including signing out on shared devices. You will provide accurate information and promptly update it if it changes. Do not share your account or transfer your invitation to someone else.
Your content
You retain ownership of everything you store in CLOC - your project records, tasks, files, and scripts. You grant us only the limited permission needed to operate the Service: to store your content, display it to you, index it for your searches, transmit it when you download it, and back it up. You are responsible for your content, including having the necessary rights to store any information about your own clients or other third parties.
Acceptable use
You agree not to:
- store or distribute content that is unlawful, infringing, or malicious (including malware);
- attempt to disrupt, overload, reverse engineer, or gain unauthorized access to the Service, its underlying systems, or another user's workspace;
- use the Service to violate any law or regulation, or the rights of others;
- use storage in a manner that materially exceeds ordinary professional use. We may set and enforce reasonable storage and usage limits, with notice where practical.
We may suspend or terminate access that we reasonably believe violates these Terms or risks harm to the Service or other users.
Fees and billing
Paid plans are billed at the price agreed when you subscribed, currently by direct Solvelop invoice. Founding-member pricing remains in effect for as long as your subscription is continuously active. You may cancel at any time; cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where required by law. We may change pricing for future billing periods with reasonable advance notice. We may suspend access for accounts with unpaid invoices after notice.
Export and portability
You can download your attached files and scripts from within the Service at any time. If your account is terminated, we will make reasonable efforts to give you an opportunity to export your content for a period of thirty days, except where we terminate for a serious violation of these Terms or are legally prevented from doing so.
Our intellectual property
The Service, including its software, design, and the CLOC name and logo, is owned by Solvelop and protected by intellectual property laws. These Terms do not grant you any right to use our branding without our prior written permission.
Availability and changes
We may add, change, suspend, or discontinue any part of the Service at any time, and we do not guarantee any particular level of availability or uptime. We may also update these Terms; changes take effect when posted, and your continued use after that means you accept the updated Terms.
Disclaimer of warranties. The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that stored content will never be lost; you are responsible for keeping copies of material you cannot afford to lose.
Limitation of liability
To the fullest extent permitted by law, Solvelop will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, lost profits, or lost opportunities, arising out of or relating to your use of the Service. To the fullest extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid for the Service in the twelve months before the claim arose or one hundred U.S. dollars (USD 100).
Indemnification
You agree to indemnify and hold harmless Solvelop and its officers, employees, and agents from any claim, liability, cost, or expense arising out of your use of the Service, your content, or your violation of these Terms or applicable law.
Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or its users. Provisions that by their nature should survive termination - including ownership, disclaimers, limitation of liability, and indemnification - will survive.
Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Delaware will have jurisdiction over any dispute arising from these Terms or the Service.
